End-User License Agreement for Whetzel CPA Internal.
Terms governing use of our internal QuickBooks Online application.
Last updated: September 3, 2026
This End-User License Agreement (the “Agreement”) governs use of Whetzel CPA Internal (the “Application”), a private software application owned and operated by Whetzel & Co (the “Firm”).
1. Private, internal application
The Application is an internal tool of the Firm. It is not offered, sold, licensed, or distributed to the public, and it is not listed on any application marketplace. It is used only by the Firm’s owner and authorized Firm personnel, in the course of delivering professional accounting and tax services.
Nothing on this page constitutes an offer to license the Application to anyone outside the Firm.
2. Authorized users
Use is limited to individuals whom the Firm has expressly authorized. Authorized users may use the Application only to perform work for the Firm’s clients under an active engagement.
3. What the Application does
The Application connects to QuickBooks Online company files that have been authorized by the Firm’s owner, reads accounting records, and creates or updates accounting transactions in those files. It is used for bookkeeping, period-end close, reconciliation review, financial reporting, and tax preparation.
Handling of client data is governed by our Privacy Policy, which forms part of this Agreement.
4. Client authorization
The Application accesses a client’s QuickBooks Online company file only after that connection has been authorized through Intuit’s standard authorization flow. Any client may revoke that access at any time from within QuickBooks Online, under Integrations → Manage integrations.
The Firm’s use of client data remains subject to its engagement letter with that client and to the professional standards governing CPA practice.
5. Restrictions
Authorized users may not:
- Copy, distribute, sublicense, sell, or otherwise transfer the Application or any part of it
- Reverse engineer, decompile, or disassemble the Application except as permitted by law
- Use the Application to access any company file the Firm has not been authorized to access
- Use the Application in any manner that violates Intuit’s developer terms, applicable law, or the Firm’s professional obligations
6. Intuit’s terms
The Application integrates with QuickBooks Online, a product of Intuit Inc. Use of the Application in connection with QuickBooks Online is additionally subject to Intuit’s applicable terms of service. Intuit is not a party to this Agreement and bears no responsibility for the Application.
7. Ownership
The Application, including all software, configuration, and documentation, is and remains the property of the Firm. The Application incorporates open-source components licensed to the Firm by their respective authors; those components remain subject to their own licenses. No ownership rights are transferred by this Agreement.
8. No warranty
The Application is provided “as is,” without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. The Firm does not warrant that the Application will be uninterrupted, error-free, or that its output will be free of defects.
Output produced by the Application does not constitute professional advice and is subject to review by a licensed professional before it is relied upon.
9. Limitation of liability
To the maximum extent permitted by law, the Firm shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data, arising out of or relating to the Application, regardless of the theory of liability.
10. Termination
The Firm may suspend or terminate any user’s access to the Application at any time and for any reason. Obligations under Sections 5, 7, 8, and 9 survive termination.
11. Governing law
This Agreement is governed by the laws of the State of Texas, without regard to its conflict-of-laws provisions.
12. Changes
The Firm may revise this Agreement. Revisions take effect when posted to this page, and the date above will be updated.
